If you access this website on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Website purpose and service access

This website is provided for general informational purposes and to facilitate mandate inquiries. Service access is available subject to onboarding, compliance review, contractual arrangements and applicable law.

Nothing on this website constitutes an offer, invitation, solicitation or recommendation to buy or sell any digital asset, security, derivative, financial product or regulated service. A mandate inquiry is not a binding trade instruction, a quote, an offer to contract or a commitment to provide services.

Nature of services and regulatory disclaimer

PAYNOMIC FINANCE CORP. provides non-custodial OTC brokerage services for digital asset transactions only, including crypto-to-fiat and fiat-to-crypto transactions. It does not provide wallet services, banking services, payment services, money remittance services, lending, interest-bearing products, investment advice, securities brokerage, portfolio management or payment account services.

Paynomic Finance Corp. is not a bank, credit union, trust company, deposit-taking institution, money transmitter, investment dealer or securities dealer. Client funds are accepted solely for the purpose of settling OTC transactions. Paynomic does not hold client balances, offer stored-value products or accept funds for savings or investment purposes.

AML/ATF and compliance controls

Paynomic Finance Corp. is incorporated in British Columbia under incorporation number BC1541366 and is registered with FINTRAC as a Money Services Business under registration number C10001625. Service access and each proposed transaction are subject to a risk-based AML/ATF compliance framework designed to address applicable obligations under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA), its regulations and applicable FINTRAC requirements. This framework includes client identification and verification, beneficial ownership review, transaction monitoring and recordkeeping.

Paynomic may require KYC/KYB information, Enhanced Due Diligence, Source of Funds or Source of Wealth information, and may perform PEP, sanctions and adverse-media screening. Completion of KYC/KYB verification does not guarantee acceptance as a client or acceptance, quotation, execution or settlement of a transaction.

No advice and independent decisions

Content on this website does not constitute investment, financial, legal, tax, accounting or other professional advice. You are solely responsible for obtaining independent advice and making your own assessment before taking any action in connection with digital assets or a potential transaction.

Digital asset transactions may involve significant risks. You should review the Risk Disclosure before submitting an inquiry.

No client relationship or transaction

Use of this website, receipt of information, submission of an inquiry or communications with PAYNOMIC FINANCE CORP. do not create a client, fiduciary, advisory, agency, brokerage, banking or other contractual relationship.

Any accepted service relationship is governed only by separate written agreements, onboarding requirements, compliance review and internal approvals. Settlement funds or digital assets are accepted solely as transaction consideration for an approved OTC transaction and not for custody, banking, payment-account or investment purposes.

Eligibility and access restrictions

You may use this website only where doing so is lawful. You must not use the website if you are located in, ordinarily resident in, or acting on behalf of a person or entity subject to applicable sanctions, restrictions or prohibitions.

PAYNOMIC FINANCE CORP. may request additional documentation, suspend a proposed transaction, delay settlement, reject a client, terminate a relationship or freeze processing pending compliance review. It may decline or terminate any transaction without providing reasons where disclosure could interfere with legal obligations, risk controls, AML/ATF controls, sanctions screening or other compliance concerns. Permitted use

You may use this website solely for lawful, personal or internal business purposes connected with evaluating the information made available here. You must not:

• use the website in violation of applicable law or the rights of any person;
• misrepresent your identity, authority, location, client profile or transaction information;
• introduce malicious code, attempt unauthorised access, interfere with the website or probe its security;
• scrape, copy, reproduce, distribute or exploit website content except as permitted by law or with our prior written consent; or
• use the website to transmit private keys, passwords, wallet credentials or other highly sensitive credentials.

Information you provide

You are responsible for information submitted through the website and represent that it is accurate, current and not misleading. Do not submit information that you are not authorised to provide.

We may use information submitted through the website in accordance with our Privacy Policy and may contact you regarding your inquiry, onboarding or related service communications.

Intellectual property

The website, its content, design, text, trade names, marks, layout and other materials are owned by or licensed to PAYNOMIC FINANCE CORP. and are protected by applicable intellectual property laws. No right, title or licence is granted except the limited right to use the website in accordance with these Terms.

This website may contain links to third-party websites or use third-party services that are not controlled by PAYNOMIC FINANCE CORP. We do not endorse, control or accept responsibility for third-party content, availability, security or privacy practices. Your use of third-party services is subject to their terms and policies.

To the fullest extent permitted by applicable law, this website and its content are provided “as is” and “as available.” PAYNOMIC FINANCE CORP. makes no representation or warranty, express or implied, regarding the accuracy, completeness, timeliness, availability, security, suitability or fitness for a particular purpose of the website or its content.

To the fullest extent permitted by law, PAYNOMIC FINANCE CORP. and its directors, officers, employees, contractors and representatives will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profits, data, goodwill or business opportunity, arising from or related to use of, or inability to use, this website. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless PAYNOMIC FINANCE CORP. and its directors, officers, employees, contractors and representatives from claims, liabilities, damages, losses and expenses arising from your breach of these Terms, unlawful use of the website or infringement of the rights of a third party.

Changes, suspension and termination

We may modify, suspend, withdraw or discontinue any part of this website at any time without notice. We may update these Terms from time to time by posting a revised version on this page. Your continued use after an update constitutes acceptance of the revised Terms.

Electronic communications

You agree that communications, notices and records may be provided electronically where permitted by applicable law. Electronic communications do not, by themselves, create a transaction agreement or override any requirement for separate written documentation, onboarding or approval.

Governing law and jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law principles. Subject to applicable law, you irrevocably attorn to the exclusive jurisdiction of the courts of British Columbia for disputes arising from or relating to these Terms or use of this website.

General provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver of that provision. These Terms, together with the Privacy Policy, constitute the entire agreement regarding use of this website.
